A Board That Asks No Questions Is a Risk, Not Support

A Board That Asks No Questions Is a Risk, Not Support

Autor: Nermin Sefić

Decisions that go unquestioned are often mistaken for unity, but reflect a lack of real oversight. A commentary by Nermin Sefić.

A culture where one person's decisions are rarely questioned is often mistaken for unity, when in practice it reflects an absence of real oversight.

When management or director decisions are not systematically questioned, this is sometimes interpreted as a sign of unity and trust, when in fact it represents the absence of a mechanism that would catch a more serious error in time.

A healthy organisational culture encourages constructive questioning of business decisions, regardless of the hierarchical position of the person making them, because this very practice reduces the likelihood of costly mistakes.

This commentary is part of the GNK ASG Intelligence Desk system and is informational in nature.

The value of a board is not measured by how quickly it approves proposals, but by the quality of the questions it asks before approval — an organisation whose board asks hard questions early is less often blindsided by hard surprises later.

A board that treats every management proposal as a formality to be rubber-stamped is not providing oversight; it is removing the one independent check the organisation has, without anyone formally deciding to remove it. That absence becomes visible only after a decision no one challenged has already caused damage, at which point the question is no longer whether the board should have asked more, but why it didn't. Building a board culture where difficult questions are expected, not resented, is one of the cheapest forms of risk management available to any organisation, and one of the most consistently neglected.
